Malta and DLT

Malta was the first country in the world to draft and pass legislation regulating the cryptocurrencies space. Malta’s robust framework has been used and emulated by the EU in their Markets in Crypto-assets Regulation (“MiCA”) which came into force in January 2025.

Malta was first criticised for ‘over-regulating’ the crypto space way back in 2018, however, we are now bearing the fruits of the seeds sown and are by far the most prepared jurisdiction. Choosing Malta means faster processes, regulatory familiarity, and full EU passporting rights from day one.

White Paper Requirements

Under Art. 6 of MiCA lays out requirements for the content of white papers. It requires information about the offeror/person seeking admission to trading, about the crypto-asset project, about the offer to the public or its admission to trading, about the crypto-asset and rights and obligations attached to it, about the underlying technology, about the risks and about the adverse impacts on the climate.

Passporting Rights

Once the White Paper is notified in Malta you will be allowed to offer the crypto-asset or seek its admission to trading in other EU/EEA nations under the Malta White Paper, provided that this is notified to the MFSA.

Notification Process

Phase 1 - White Paper Drafting or Vetting

During this stage, the White Paper is drafted or vetted, in line with the ESMA templates, and ensures that all information is provided. Input from the client for certain information will be required, and we will work on drafting the White Paper. Once the White Paper is finalised, we will then notify the MFSA.

Phase 2 - Notification to the MFSA

Once the White Paper is finalised it will be notified to the MFSA alongside the application form. Then when received by the MFSA, they may provide feedback, asking for certain additions or amendments. When all is finalised, the MFSA will move on to approve the White Paper and confirm its notification.

Phase 3 - Publishing

Once the MFSA confirms the notification of the White Paper, the White Paper can be published 20 days after the date of notification. Further, the crypto-asset will be eligible to be offered and admitted to trading once the White Paper is published. Any subsequent amendments to the White Paper must be notified to the MFSA.
