Mergers and acquisitions are regulated in Malta by various statutes and regulators. The Companies Act (Cap. 356, Laws of Malta) sets out the ways in which an M&A may be effected (by acquisition or by amalgamation), and the documents, approvals and procedures required to effect each kind of M&A.
The Malta Competition and Consumer Affairs Authority (MCCAA) also supervises the consummation of M&A transactions. M&A transactions that meet certain turnover thresholds are required to be notified to the MCCAA. In addition, some sector specific regulators may also require to be notified of M&A transactions involving entities in the sectors which they regulate.

We assist with due diligence, drafting and negotiation of preliminary agreements such as the letter of intent, non-disclosure agreements, non-solicitation agreements and exclusivity/non-exclusivity agreements.
We also draft and negotiate the main transaction agreements such as share sale and purchase agreements, asset sale and purchase agreements, provide tax advice, and assist in obtaining regulatory and other approvals as required.
